9. Account Suspension & Deactivation

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. 10. Dispute Resolution

a. Informal Resolution: Before initiating formal proceedings, the parties shall attempt in good faith to resolve any dispute, claim, or question arising out of or relating to these Terms or the Service through informal negotiation within thirty (30) days of written notice.

b. Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be finally resolved through binding arbitration administered under applicable arbitration rules, rather than in court. The arbitration shall be conducted in English.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions. You and GameFabricator agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, United States, for the resolution of any dispute not subject to arbitration as described above. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GameFabricator regarding the use of the Service and supersede and replace any prior agreements or understandings between us regarding the Service.
